Description
- Advise both local and international clients on corporate structures, restructuring strategies, general corporate issues, and transactional matters such as joint ventures, mergers and acquisitions, and technology mergers and acquisitions.
- Provide customized corporate guidance in private equity and asset management transactions.
- Draft, negotiate, and review various agreements and transactional documents to ensure smooth operations.
- Engage fully with the team, including partners, to work collaboratively on the matters at hand.
- Conduct legal research, manage due diligence processes, negotiate, draft, and update essential corporate documentation (including extraordinary general meetings, board minutes, articles of association, proxies, shareholders’ agreements, transfer agreements, and other related documents), while enhancing your skills as a client relationship manager.
- Participate in both internal and external presentations and contribute to legal publications to support knowledge sharing.
- Lead, manage, and mentor junior legal professionals, fostering their growth and development.
- Attend client meetings to develop and strengthen relationships, ensuring excellent communication and service.
Your profile
- Possesses 3 to 5 years of experience in Corporate Law and Mergers & Acquisitions.
- Holds admission to the Luxembourg Bar (CCDL/Avoue), or alternatively, is admitted to the Bar in France, Belgium, or Germany, with a solid understanding of Luxembourg's legal framework and relevant research tools.
- Has a proven track record in transactional work, demonstrating the ability to navigate time-sensitive situations and meet tight deadlines when necessary.
- Is skilled in drafting all necessary corporate documents as required by various transactions.
- Experience with customized corporate documents (such as Share Purchase Agreements or Shareholder Agreements) will be considered a valuable asset.
- Exhibits exceptional written and verbal communication proficiency in both English and French, with additional capabilities in German being a plus.
- Is proactive and demonstrates the ability to take initiative in various situations.
- Displays efficiency, diligence, and a collaborative spirit, along with maintaining a positive attitude in a team environment.
