Corporate Officer/General Secretariat - Impact Finance Funds

Our client is looking for someone to join its Board Advisory team to support impact investment funds' governance and management.
You will play a vital role in corporate services, client relationships, and governance advice. Ideal candidates are university graduates with 2-4 years of Luxembourg investment fund experience, knowledge of corporate law, and strong organizational skills. Description

Services Provided to Boards of Directors and Governance Bodies:
  • Advise Boards, especially Chairpersons and other governance bodies, on corporate and administrative matters;
  • Manage client relationships and ensure client satisfaction;
  • Prepare board meetings and general shareholder meetings and ensure proper follow-up;
  • Review and coordinate enhancements and changes to investment fund structures with all service providers (custodian, administrative agent, legal counsel, auditor, investment manager/advisor);
  • Lead updates to fund constitutive documents (prospectus/issue document, articles, etc.) with assistance from external legal counsel;
  • Review and coordinate the drafting, preparation, and execution of all investor-related agreements (Commitment Agreements, Subscription Forms, amendments, etc.) in collaboration with fund service providers;
  • Provide general support to the Board of Directors and initiators/sponsors representatives throughout the life of the funds;
  • Depending on experience, supervise and train junior team members.

Your profile

  • Your aspiration is to align your job with your values, which involve delivering sustainable and responsible services;
  • Ideally, you are a university graduate in fields such as business, law, finance, economics, or accounting;
  • You possess a minimum of 2-4 years' experience as an investment fund professional in the Luxembourg investment fund industry, primarily focusing on alternative investment funds, and have a comprehensive understanding of all aspects of Luxembourg investment fund operations;
  • You have knowledge and previous experience in Luxembourg Corporate and Company Law, preferably with a legal or paralegal background. You will be responsible for managing daily administrative and corporate formalities, including unregulated and regulated vehicles, ideally encompassing SIF, RAIF, SICAR.;
  • You have experience in handling tasks like agenda setup, board resolutions, proxies, minute drafting, and ensuring compliance with relevant financial vehicle laws and regulations;
  • You possess strong organizational skills, are highly accurate, self-motivated, and eager to take ownership of your responsibilities;
  • You can work effectively both within a team and independently;
  • You are client-focused, service-oriented, and demonstrate a dynamic attitude;
  • Prior experience, preferably in a management company, audit firm, custodian/fund administration agent, or domiciliary agency department (especially with a legal/paralegal background), is preferred;
  • You are motivated to work for a growing and dynamic firm in the sustainability/impact sector;
  • Native English proficiency is preferred, and fluency in both written and spoken English is a prerequisite. Proficiency in German and/or French would be advantageous.
