Description
Key Responsibilities:- Provide legal guidance and support to the management of an asset management entity in Luxembourg;
- Handle a wide range of legal, regulatory, contractual, and corporate matters related to investment management activities;
- Lead and oversee the fund formation and maintenance processes, from incorporation to liquidation.
- Manage a team of 4 legal officers within the Legal department;
- Participate in discussions to determine the most suitable structure for specific fund projects;
- Draft and review legal documentation for managed funds, including amendments;
- Review the delegation of investment management or advisory functions;
- Negotiate service agreements with relevant service providers such as depositaries and central administration agents;
- Collaborate with external legal counsels;
- Coordinate with the Luxembourg regulator (CSSF) to secure necessary regulatory approvals.
- Assist in the establishment, modification, and liquidation of investment funds and handle statutory filings.
- Work closely with various business units and departments, providing legal advice and support on legal, regulatory, contractual, and corporate matters;
- Interpret legal and regulatory requirements relevant to the business;
- Advise the management on the latest legal and regulatory developments.
- Serve as a member of the Management Committee of the Luxembourg entity;
- Actively engage in cross-border topics and collaborate with other Legal Teams within the Group.
- Actively support ESG (Environmental, Social, and Governance) initiatives and Cross-Border Distribution working groups and projects.
Your profile
- Degree in law;
- At least 8 years of experience in fund law gained either in a Luxembourg law firm or another management entity;
- Interest and motivation to work in a fast-growing, medium-size entity;
- Good communication and interpersonal skills (you are both a leader and a team player);
- Ability to manage files independently on a day-to-day basis but with proper escalation to the head of department;
- Excellent legal and technical language skills in English (German and/or French would be an asset);
- Strong commercial awareness and ability to give pragmatic advice;
- Accuracy, confidentiality, and punctuality;
- Ability to prioritize and manage effectively multiple and complex tasks.
